Terms and Conditions of Sales and Delivery

These general Sales and Delivery terms and conditions apply if not otherwise agreed in writing between VIKNORDIK ehf. and the Customer.

OFFER

Unless otherwise stated as per written agreement with VIKNORDIK ehf. an acceptance deadline of 30 days from the date of the offer applies. We reserve the right to reject the validity of an offer in the event of typing errors in VIKNORDIK sales materials, to which VIKNORDIK ehf. cannot be held liable under any circumstances. Dimensions and other technical specifications are thus to be interpreted as conditional.

PRICE

All prices are excl. VAT and other charges, unless otherwise stated in writing. Prices may differ due to changes in costs, e.g. added unforeseeable charges and any to VIKNORDIK ehf. cost increasing eventualities. Hence, prices will follow increases accordingly. Delivery is at the customer’s expense.

DELIVERY AND RETURN

As delivery times are determined by VIKNORDIK ehf. at best estimate, we reserve the right to refuse any claim tied to delays, operating losses, time losses, profit losses, daily fines and other indirect losses.

Delivery is at the customer’s own expense and risk while place of delivery is the customer’s address, unless otherwise agreed with VIKNORDIK ehf. in writing.

Freight terms are determined by VIKNORDIK ehf. at best estimate. Storage is at the customer’s own risk.

VIKNORDIK ehf. has no obligation to accept refunds.

DEFECTS AND COMPLAINTS

The customer must immediately perform inspection of the delivered components and services in terms of defects and deficiencies of any nature.

The customer must notify VIKNORDIK ehf. of such eventualities within 7 days from closing or delivery of components. 

In the event that defects or deficiencies are detected, VIKNORDIK ehf. reserves the right to credit the defects or deficiencies, determine a price reduction, re-deliver or repair at best estimate. VIKNORDIK ehf. does not assume any responsibility for defects or deficiencies in the service, unless documented – be it management or staff. Repairs and other imperative security measures will only be accepted with the express written consent of VIKNORDIK ehf. and only in the event that we cannot correct errors in due time. Imperative security measures are to be interpreted as any risk of substantial material damage or bodily harm.

VIKNORDIK ehf. reserves the right to reject complaints tied to operation losses, profit losses and other indirect losses made outside Danish borders, the Faroe Islands and Iceland. Furthermore, VIKNORDIK ehf. does not assume any responsibility for added costs tied to freight, lodging, transport, diets, consumption, etc. 

VIKNORDIK ehf. can only be held liable due to the customer’s own installation, handling and maintenance accordingly to our strict instructions.

Any incorrect information provided by telephone will not bind VIKNORDIK ehf. to assume liability of any kind. 

SPECIAL TERMS

The below-mentioned terms apply to welding and services tied to the delivery.

  • Prior to delivery all safety precautions must be secured by the contractor. This includes clear marking of the working area and information about potential risk of bodily harm during and after delivery. Free access: The customer must ensure free access to construction roads to the workplace. 
  • Prior to delivery the customer must prepare all required equipment and crew for the delivery and maintain oversight concurrently at the customer’s own risk and expense.
  • Before covering exposed pipes, pressure testing must have been performed in order for the customer to make defect or deficiency claims. Should the customer choose to test the pipes after covering, and a leakage is discovered, charges for the service will be at the customer’s expense. 
  • VIKNORDIK ehf. offers pressure testing using water, air and nitrogen, applying the standards: DS 455, SFS 3115:E og DVGW G 469. For these methods the customer must ensure free access to the pipes and redirection of the liquid or gas used for the pressure testing (water, air and nitrogen). The delivery, and services tied to it, will be at the customer’s expense.
  • Removal of internal beads are charged exclusively, unless otherwise stated in the offer. Rough surfaces and edges must be expected and cannot be deemed a defect. Due to individual traits such as the pipes’ dimensions, wall thickness and ovality, rough surfaces and edges are a common result.
  • Price deviations may occur depending on the specific task or project. In that event the difference will be specified in the offer.

DELIVERY CLAUSE

General Icelandic terms, ÍST 30, for construction will apply insofar as deviations are not mentioned in the contract.

PAYMENT AND DEFAULT INTEREST

Payment as per agreement. 

When the delivery has been paid in full to VIKNORDIK ehf., with eventual interest and other charges, property rights on components and machinery transfer to the customer. A reminder fee will be imposed from the first reminder until full payment.

FORCE MAJEURE

VIKNORDIK ehf. cannot be held liable to the customer for activities outside our control including, albeit not limited to, unforeseeable activities, which in part or completely obstruct fulfilment of the agreement. Force majeure is to be interpreted as war and unusual forces of nature. Furthermore, VIKNORDIK ehf. assumes no responsibility for occurrences tied to trade barriers, logistical challenges in import and export, any lockdown issued by government and epidemic control measures.

VIKNORDIK ehf. cannot be held liable and reserves the right to postpone deliveries throughout the duration of the hindrance and no longer than 4 weeks. In the event of a hindrance exceeding the date of a postponed delivery, both VIKNORDIK ehf. and the customer have the right to cancel the order by terminating the contract.

DISPUTES, CHOICE OF LAW AND VENUE

Disputes between the parties arising from fulfilment of the contract, that cannot be settled amicably, must be decided by Icelandic Court, using Icelandic law.
